5 <br /> Article VL ENTEREST of GRANTEE <br /> The GRANTEE covenants that it presently has no interest, direct or indirect which would conflict <br /> in any manner or degree with the performance of its services hereunder. The GRANTEE further <br /> covenants that in the performance of this Agreement no such person having such interest shall <br /> be employed <br /> Article VII. PUBLICITY <br /> GRANTEE agrees that no advertising or publicity matter having or containing any reference to <br /> North Carolina Agricultural & Technical State University or in which the name is mentioned, <br /> shall be made use of by the GRANTEE or anyone in the GRANTEE'S behalf unless and until <br /> the same shall have first been submitted to and received the approval of North Carolina <br /> Agricultural & Technical State University. t <br /> Article VU L CHANGES <br /> The GRANTOR may, from time to time, require changes in the scope of the services of the <br /> GRANTEE to be performed hereunder. Such changes shall be incorporated by a written, <br /> mutually agreed upon amendment to this Agreement. <br /> Article I L INDEPENDENT GRANTOR AND LABOR REQUMEMEM <br /> A. The GRANTEE is furnishing its services hereunder as an independent contractor, and the <br /> GRANTEE shall not be considered an employee of GRANTOR <br /> B. The GRANTEE shall be responsible for compliance with all requirements and obligations <br /> relating to such services under local, state or federal law including but not limited to <br /> minimum wage, social security, unemployment insurance, income tax and worker's <br /> compensation. The GRANTEE shall also be responsible for all licensing requirements <br /> of any local, state, or federal jurisdiction to which the performance of its services may <br /> be subject. <br /> Article X EMM A F.F.MF.N'T <br /> This Subgrant constitutes the sole and entire Agreement between the parties with respect to the <br /> subject matter contained herein. The Subgrant supersedes any prior Agreement,offer,or proposal <br /> between the patties with respect thereto, and may be amended only with the consent of each <br /> party in advance in writing. <br /> Article XL APPLICABLE LAW <br /> This Subgrant shall be construed and performance hereunder shall be determined according to <br /> the Laws of the State of North Carolina. <br /> PAGE 3 OF 4 <br />
