4 <br /> 5. This Agreement may be terminated at anytime without penalty by either party <br /> provided that written notice of such termination is furnished to the other party at least <br /> sixty(60) days prior to termination. In the event of such termination, any payment due <br /> shall be prorated to the date of termination. <br /> 6. The Hospital and The County agree that in their educational and/or employment <br /> practices each will comply with such nondiscrimination laws as may be applicable to it in <br /> the performance of this Agreement. <br /> 7. In compliance with Title 42 U.S.C. section 1395x(v)(1)(I) and its implementing <br /> records, The County agrees, until the expiration of four(4) years after the services are <br /> furnished under this Agreement, to allow the Secretary of the Department of Health and <br /> Human Services and the Comptroller General access to this Agreement, and to the books, <br /> documents, and records of The County necessary to verify the nature and extent of the <br /> costs of this Agreement. The County further agrees that if any of the duties of this <br /> Agreement are carried out by a subcontractor of The County, such shall contain a clause <br /> to the effect that, until the expiration of four years after the services are furnished under <br /> such subcontract, the Secretary of the Department of Health and Human Services and the <br /> Comptroller General shall have access to such subcontract and to the boobs, documents, <br /> and records of the subcontractor necessary to verify the nature and extent of the costs of <br /> such subcontract. <br /> 8. All notices under this Agreement will be in writing and mailed by certified or <br /> return receipt request mail. All notices to The County will be mailed to the office address <br /> set forth below its signature line, unless The Hospital receives a written request that <br /> notices be sent elsewhere. All notices to The Hospital will be mailed to: <br /> UNC Hospitals <br /> 6003 East Wing, CB #7600, 101 Manning Drive <br /> Chapel Hill,NC 27514 <br /> Attn: John Stokes <br /> unless The County receives a written request that notices be sent elsewhere. <br /> 9. None of the provisions of this Agreement are intended to create, nor shall they <br /> be deemed or construed to create any relationship between The County and The Hospital <br /> other than that of independent entities contracting with each other solely for the purposes <br /> of effecting the provisions of this Agreement. Neither of the parties to this Agreement, <br /> not any of their respective employees shall be construed to be the agent, employer, or <br /> representative of the other. This Agreement is not intended to nor shall it be construed to <br /> be an agreement for the benefit of any third party. <br /> 10. In the event that any provision of this Agreement is held to be invalid or <br /> unenforceable, the remainder of the provisions of this Agreement will remain in full force <br /> and effect. <br /> 3 <br />
