23 <br /> EXHIBIT B <br /> RULES OF CONSTRUCTI(1N <br /> For all purposes of this Agreement, unless the context clearly requires otherwise, <br /> (a) an accounting term not otherwise defined has the meaning assigned <br /> to it in accordance with generally accepted accounting principles; <br /> (b) references to Articles and Sections are to the Articles and Sections <br /> of this Agreement; <br /> (c) words importing the singular shall include the plural and vice <br /> versa; <br /> (d) the headings in this Agreement are solely for convenience of <br /> reference; the headings shall not constitute a part of this Agreement,'nor shall they affect <br /> its meanings,construction or effect; <br /> (e) all references- to any Party shall be deemed to include any <br /> successor to the general functions,powers and properties of such Party; and <br /> (fl any references to approvals or other actions by any Party shall be <br /> deemed to be references to actions taken by the Party's Governing Board or taken <br /> pursuant to express, specific direction given by the Party's Governing Board. <br /> 21 <br />
