3 <br /> AGREEMENT BETWEEN <br /> ORANGE COUNTY HEALTH DEPARTMENT <br /> AND <br /> CHAPEL HILL TRAINING-OUTREACH PROJECT, INC. (CHTOP, INC.) <br /> THIS AGREEMENT is entered into between the Orange County Health Department and <br /> the Chapel Hill Training-Outreach Project, Inc. (CHTOP, INC.). Subject to satisfactory <br /> performance and the continued availability of funds,this Agreement shall be effective from <br /> January 1, 1997 through June 30, 1997. <br /> WHEREAS,the Orange County Partnership for Young Children(OCPYC) is providing <br /> funding to the CHTOP, Inc. for the administration of three family resource centers in Orange <br /> County,North Carolina, and; <br /> WHEREAS,the grant permits the CHTOP, Inc. to subcontract for various aspects of the <br /> Family Resource Center Program, <br /> NOW THEREFORE, in consideration of the mutual promises contained herein, the <br /> Orange County Health Department agrees as follows: <br /> A. The Orange Cog=Health Department. shall: <br /> 1. Provide or cause to be provided services as described in the Plan of Work and Budget <br /> which are attached hereto as Exhibit A and incorporated by reference herein. <br /> 2. Ensure that the services provided as described in the Plan of Work and the <br /> administration of this Agreement are consistent with the terms of the grant. Services provided <br /> shall also comply with all applicable State statutes and rules. <br /> 3. Maintain or cause to be maintained program records, fiscal records and other <br /> documents which reflect program operation and the expenditure of funds under this Agreement, <br /> including all direct and indirect costs. Cost records shall be maintained so that allowable costs <br /> can be determined in accordance with the U.S. Office of Management and Budget Circular and A- <br /> 122. All records and other documents shall be maintained for three (3)years following <br /> termination of this Agreement, or until the date released from any Federal or State audit which <br /> may occur. The Orange County Health Department shall make applicable records and other <br /> documents available or cause to be available upon request to authorized State or Federal officials <br /> for audit purposes. <br /> 4. Provide or cause to be provided written reports to CHTOP, Inc., at least quarterly, <br /> related to the activities carried out under this Agreement. Such reports shall have content as <br /> specified by the CHTOP, Inc. and shall be due within thirty(30) days after the end of each <br /> calendar year quarter. <br />
