5 <br /> STATE OF NORTH CAROLINA <br /> COUNTY OF ORANGE <br /> AGREEMENT BETWEEN <br /> THE UNIVERSITY OF NORTH CAROLINA HOSPITALS <br /> AND <br /> THE ORANGE COUNTY HEALTH DEPARTMENT <br /> This Agreement, made and effective this 1 st day of April, 1997, by and between the <br /> University of North Carolina.Hospitals, hereinafter referred to as"The Hospital," and The <br /> Orange County Health Department, hereinafter referred to as"The Department." <br /> WITNESSETH: <br /> WHEREAS, The Hospital received funds from the Duke Endowment with which it <br /> has and will undertake innovative activities, and coordinate efforts with communities within <br /> the State of North Carolina, in order to develop and implement programs that reduce the <br /> cost and/or enhance quality of medical care services; <br /> WHEREAS, The Hospital desire the services of a Project Coordinator to facilitate <br /> and manage the preparation of a health improvement plan for the community of Orange <br /> County,North Carolina, an innovative program to be supported with funds from the Duke <br /> Endowment; and <br /> WHEREAS, The Department agrees to provide these services. <br /> NOW, THEREFORE, in consideration of the premises, and of the following mutual <br /> promises, covenants, and conditions, the parties agree as follows: <br /> 1. The Department will provide the services of a Project Coordinator to facilitate <br /> and manage the preparation of a health improvement plan for the community of Orange <br /> County, North Carolina. The Project Coordinator will work with all members of the project <br /> team as well as community leaders, government officials, private citizens, and <br /> representatives from The Hospital, the School of Public Health, and the Orange County <br /> Health Department to plan action steps to improve health conditions based on priorities set <br /> during the community assessment phase of the Orange County Healthy Carolinians Task <br /> Force. <br /> 2. The Project Coordinator will: <br /> a. Work with representative from The Hospital, the School of Public Health, <br /> and the Orange County Health Department, and the faculty advisory group from the School <br /> of Public Health; <br />
