' within ten(10)business days after application software training (certification date), <br /> the application software module will be deemed accepted by the Customer. <br /> ' SECTION 6: Proprietary Software <br /> OSSI shall have sole and exclusive ownership of all right, title and interest in and to <br /> the Licensed Program and all modifications and enhancements thereof(including ownership <br /> of all trade secrets and copyrights pertaining thereto) subject only to the rights and privileges <br /> expressly granted by OSSI. This Agreement does not provide Customer with title or <br /> ' ownership of the Licensed Program,but only a right of limited use. Customer must keep the <br /> Licensed Program free and clear of all claims, liens, and encumbrances. <br /> ' The Licensed Program is a commercially valuable,proprietary product of OSSI, the <br /> design and development of which reflect the effort of skilled development experts and the <br /> investment of considerable time and money. The Licensed Program is treated by OSSI as <br /> ' confidential and contains substantial trade secrets of OSSI,which OSSI has entrusted to <br /> Customer in confidence to use only as expressly authorized. OSSI claims and reserves all <br /> rights and benefits afforded under federal copyright law in all software programs and user <br /> ' materials that constitute the Licensed Program, and in all system documentation related <br /> thereto as unpublished works. <br /> ' Customer may not, at any time, disclose or disseminate the Licensed Program to any <br /> person who does not need to obtain access thereto consistent with Customer's rights under <br /> this Agreement. Under no circumstances may Customer "unlock" the code of the Licensed <br /> Program, as the term is generally used in the trade. Under no circumstances may Customer <br /> disclose or disseminate the Licensed Program to any competitor of OSSI. Customer will <br /> ' devote their best efforts to ensure that all their personnel and all other persons afforded access <br /> to the Licensed Program shall protect it against improper use, dissemination, or disclosure. <br /> ' OSSI acknowledges that Customer is a governmental entity and as such is subject to <br /> regulations governing public information. Customer will notify OSSI in the event a request <br /> for information may conflict with the terms cited herein. However, in accordance with G.S. <br /> 132-1.2, Customer will not release any OSSI information that meets the definition of"trade <br /> secret" as defined in G.S. 66-152 (3). Examples of OSSI's proprietary information would <br /> include OSSI's documentation, object code, and screen shots. Examples of non-proprietary <br /> ' information would include any report generated by the Licensed Programs requested by the <br /> public. <br /> ' OSSI agrees to hold Customer harmless from the terms of this Agreement in such event with <br /> Customer would have been in violation of public information laws had information been <br /> ' withheld. <br /> ' CONTRACT AND AGREEMENT <br /> Page 7 <br />
