explosion, collapse and underground damage coverage and a contractual liability <br /> endorsement. <br /> c. Professional Errors and Omissions Liability: Coverage shall have minimum limits <br /> of$1,000,000 per claim and $1,000,000 aggregate. <br /> d. Additional Insured: The County of Orange is to be included as an additional <br /> insured on the Comprehensive, General Liability. This requirement is to be stated <br /> on the Certificate of Insurance. <br /> e. Insurance Policies: Current, valid insurance policies meeting the requirements <br /> herein identified shall be maintained during the duration of the named project. <br /> Renewal certificates shall be sent to the Town thirty(30) days prior to any <br /> expiration dates. There shall also be a 30 day notification to the Town in the event <br /> of a cancellation or modification of any stipulated insurance coverage. Certificate <br /> of insurance meeting the required insurance provisions shall be forwarded to <br /> the County of Orange. Wording on the certificate which states that no <br /> liability shall be imposed upon the company for failure to provide such notice <br /> is not acceptable and should be deleted. Original policies or certified copies of <br /> policies may be required by the County at any time. <br /> f. Certificates of Insurance for all the insurance coverages described herein shall be <br /> submitted to the County upon execution of a contract by Consultant. <br /> g. All insurance required under this agreement shall be written with a company <br /> licensed to do business in North Carolina. Certified copies insurance policies may <br /> be requested by the County. <br /> 6. Hold Harmless: Consultant agrees,to indemnify and hold the County harmless from <br /> any damage, liability or cost(including reasonable attorneys'fees and costs of <br /> defense)to the extent caused by the Consultant's negligent acts, errors or omissions <br /> in the performance of professional services under this Agreement and those of his or <br /> her subconsultants or anyone for whom the Consultant is legally liable. <br /> The Consultant is not obligated to indemnify the County in any manner whatsoever <br /> for the County's own negligence. <br /> 7. Claims_The parties agree to attempt to resolve any dispute without resort to <br /> litigation. However, in the event a claim is made that results in litigation, and the <br /> claimant fails to prevail,then the claimanLshall pay all costs incurred in defending <br /> the claim, including reasonable attorney's fees. The claimant will be considered to ` <br /> have prevailed if the judgement obtained and retained through any applicable appeal <br /> is at least ten percent greater than the sum offered to resolve the matter prior to the <br /> commencement of trial. Any litigation between the County and Consultant under <br /> this agreement shall be filed and tried only in a court of competent jurisdiction within <br /> Orange County,North Carolina. <br /> 8. Term: This Agreement, unless amended as provided herein, shall be in effect from <br /> June 6, 2000 through November 30, 2000. <br />
