STATE OF NORTH CAROLINA AGREEMENT FOR <br /> COUNTY OF ORANGE CONSTRUCTION QUALITY <br /> ASSURANCE SERVICES <br /> This Agreement made and entered into by and between the County of Orange herein <br /> "County", acting in its capacity as administrator of the Orange Regional Landfill, and <br /> Draper Aden Associates, herein"Consultant" for services as hereinafter described for the <br /> County of Orange County. <br /> WITNESSETH <br /> That for and in consideration of the mutual promises and conditions set forth below, the <br /> Consultant and County agree: <br /> 1. Duties of Consultant: Consultant agrees to provide services as described in Exhibit A <br /> attached hereto and incorporated herein by reference. <br /> 2. Duties of the County: The County shall pay for Consultant's services as set forth in <br /> Exhibit A and incorporated herein by reference. <br /> 3. Billing and Payment: Consultant shall submit regular invoices for work performed and <br /> shall be paid.for completion of the work performed during that period under the terms <br /> of this Agreement. Consultant shall bill and County shall pay at the rate and frequency <br /> set forth herein Exhibit A. Payment shall be made by the County within thirty(30) <br /> days of receipt of an accurate invoice. The value of this contract is not to exceed <br /> $56,652, except as agreed by the parties. <br /> 4. Amendment : This agreement may be amended or cancelled by mutual agreement of <br /> the County and the Consultant. Either the County or the Consultant may terminate <br /> this Agreement at any time with or without cause upon giving the other party 21 <br /> calendar days prior written notice. The County shall within sixty calendar days of <br /> termination pay the Consultant for all services rendered and all costs incurred up to <br /> the date of termination, in accordance with the compensation provisions of this <br /> contract. <br /> Any amendments to the contract are not valid unless signed by the Chairman of the <br /> Board of County Commissioners. <br /> 5. Insurance Provisions <br /> a. Worker's Compensation: Coverage to apply for all employees for statutory limits <br /> in compliance with the state and federal laws. The policy must include employer's <br /> liability with a limit of$100,000 each accident, $100,000 bodily injury by disease <br /> each employee and$500,000 bodily injury by disease policy limit. <br /> b. Comprehensive General Liability: Shall have minimum limits of$1,000,000 per <br /> occurrence combined single limit for bodily injury, liability and property damage <br /> liability. This shall include premises and/or operations, independent contractors, <br /> products, and/or completed operations,broad form property damage and <br />
