li <br /> 5.06. AMlicable Law, The parties intend that North Carolina law shall govern <br /> all matters pertaining to this Support Agreement. <br /> 5.07. Notices. (a) All notices, requests, approvals, demands and other <br /> communications given or made in connection with the terms and provisions of this <br /> Support Agreement shall be in writing (unless otherwise provided for in this Support <br /> Agreement) and shall be deemed to have been given or-made when either delivered by <br /> hand or shown as delivered by a receipt for delivery from the United States Postal <br /> Service, and'sent as follows: <br /> (i) If to the Company, addressed as follows: President, Orange County <br /> Small Business Loan Program Company,Post Office Box 1177,Hillsborough,NC <br /> 27278; or, <br /> (ii) If to the County, to Orange County Manager, Attn: Small Business <br /> Loan Program Notice, 200 South Cameron St.,Hillsborough,NC 27278. <br /> (c) Either party may designate additional or different addresses for <br /> communications by notice given under this Section to each the other party. <br /> 5.08. Definitions- Capitalized terms used in this Support Agreement and not <br /> otherwise defined shall have the meanings ascribed thereto in Exhibit A. <br /> 5,09. Aggignments- Neither the County nor the Company shall transfer or <br /> assign any interest in this Support Agreement without the other party's express prior <br /> written consent. Subject to the specific provisions of this Support Agreement, however, <br /> this Support Agreement shall be binding upon and inure to the benefit of and be <br /> enforceable by the parties and their respective successors and assigns. <br /> 5.10. Performance on Hsi dayq If the date for making any payment or the last <br /> day for performance of any act or the exercising of any right shall not be a Business Day, <br /> such payment shall be made or act performed or right exercised on or before the next <br /> succeeding Business Day. <br /> 5.11. This Support Agreement constitutes the <br /> entire contract between the parties with respect to its subject matter, and this Support <br /> Agreement shall not be changed except in writing signed by both parties. <br /> 5.12. Fzecu `nn in Cmm=arts. This Support Agreement may be executed in <br /> several counterparts, including separate counterparts. Each shall be an original, but all of <br /> them together constitute the same instrument. <br /> IN WITNESS WHEREOF, the parties have caused this Support Agreement to be <br /> signed, sealed and delivered in their corporate names by their duly authorized officers, all <br /> 6 <br />
