7.9. Definitions. Capitalized terms used in this Agreement and not otherwise <br /> defined shall have the meanings ascribed thereto in Exhibit C. <br /> 7.10. Acceptance of Support Agreement, Each Bank, by its entering into this <br /> Agreement, acknowledges its acceptance of the terms of the Support Agreement. <br /> 7.11. Liability of Officers and Agents. No covenant, condition or agreement <br /> contained in this Agreement shall be deemed to be a covenant, agreement or obligation of <br /> a present or future officer, employee or agent of any party hereto in such person's <br /> individual capacity. No such officer, employee or agent shall incur any personal liability <br /> with respect to any action taken under this Agreement, provided such person acts in good <br /> faith. <br /> 7.12. Third-Party Beneficiaries. There are no intended third-party <br /> beneficiaries of this Agreement. <br /> 7.13. Performance on Holidays. If the date for making any payment or the last <br /> day for performance of any act or the exercising of any right shall not be a Business Day, <br /> such payment shall be made or act performed or right exercised on or before the next <br /> succeeding Business Day. <br /> 7.14. Entire Agreement; Amendments. This Agreement constitutes the entire <br /> contract among the parties with respect to its subject matter, and this Agreement shall not <br /> be changed except in writing signed by all the parties. <br /> 7.15. Execution in Counterparts. This Agreement may be executed in several <br /> counterparts, including separate counterparts.
