a <br /> 5 <br /> Orange County <br /> Department on Aging <br /> SampleVendor Agreement <br /> This Vendor Agreement is entered into this 1 st day of July 2001 between XXXXX,hereinafter known as <br /> the Vendor, and Orange County on behalf of the Department on Aging,hereinafter known as the <br /> Department.The period and duration of the Agreement shall be from July 1,2001 to June 30,2002. <br /> WITNESSETH: <br /> WHEREAS,the Department desires to engage the Vendor to render certain technical and professional <br /> services,hereinafter described,now therefore the parties hereto mutually agree as follows: <br /> DEPARTMENT AGREES AND MAINTAINS THE RIGHT: <br /> 1. To determine eligibility of prospective clients for in-home cleaning services. <br /> 2. To make all decisions regarding who is served and what services are offered and in what manner <br /> to each client referred. <br /> 3. To provide to the Vendor for each client referred screening information and a service authorization <br /> describing the exact tasks and frequency of cleaning service requested. <br /> 4. To conduct by mail, for each client taken into service,monthly opportunities to cost share and to <br /> comment on level of satisfaction with services <br /> 5. To submit new service-authorizations for any client case in which the Department has approved a <br /> change in services. <br /> 6. To conduct inspections of homes within 48 hours, if requested by the client,after cleaning services <br /> have been provided. <br /> 7. To purchase adequate cleaning supplies,including but not limited to: disinfectant detergent, <br /> sponges,glass cleaner,cloths,paper towels, and dust removal spray to clean homes as contracted. <br /> THE VENDOR HEREBY AGREES: <br /> 1. To provide heavy cleaning services as specified in the essential tasks list for each client for the <br /> agreed upon price. <br /> 2. To accept a maximum of 50 monthly cleaning clients for the Department. <br /> 3. To contact each client and arrange first cleaning appointment within a minimum of 5 days <br /> of receiving a purchase of service authorization for a new client. <br /> 4. To schedule the next monthly cleaning on the day of service, leaving a written reminder for the <br /> client. <br /> 5. To contact each client within 24 hours before the cleaning appointment to remind the client of the <br /> upcoming appointment. <br /> 6. To maintain services once staffed over the service period stipulated by the Department. <br /> 5 <br />
