Between The University of North Carolina <br /> School of Dentistry for its <br /> Department of Dental Ecology <br /> And Orange County Health Department <br /> And UNC Hospitals <br /> Page 2 of 3 <br /> 4. The person whose services are to be provided pursuant to the Agreement is, for all purposes <br /> an employee of The University of North Carolina School of Dentistry. <br /> 5. While the School of Dentistry faculty is on rotation at the Orange County Health Department, <br /> professional liability insurance coverage will be provided by the School of Dentistry with <br /> coverage of at least$1 million, per incident, $3 million per year. <br /> 6. This Agreement shall run for a period of one year, from the 1St day of July 2001 to the 30th <br /> day of June 2002, and shall be renewable thereafter. <br /> 7. This Agreement or its renewals may be terminated at any time without penalty by either <br /> party provided that written notice of such termination is furnished to the other party at least <br /> 90 days prior to termination. In the event of such termination any payment due shall be <br /> prorated to the date of termination. <br /> 8. In compliance with 42 U.S.C. 1395x(v)(1)(1) and implementing regulations, The School of <br /> Dentistry and The Health Department agree, until the expiration of four year after the <br /> services are furnished under this contract, to allow the Secretary of the Department of Health <br /> and Human Services and the Comptroller General access to this contract and to the books <br /> documents and records of The School of Dentistry and The Health Department necessary to <br /> verify the nature and extent of this contract. <br /> 9. The Health Department and The University of North Carolina hereby agree with The School <br /> of Dentistry that in its educational and/or employment practices The Health Department and <br /> The School of Dentistry will comply with such non-discrimination laws as may be applicable <br /> to it in the performance of this Agreement. <br /> 10. The Agreement contains the entire understanding of the parties and shall not be altered, <br /> amended or modified, except by an agreement in writing executed by the duly authorized <br /> official of both parties. <br /> The laws of North Carolina shall govern the validity and interpretations of the provisions, terms and <br /> conditions of the Agreement. <br /> \\WHITTEDI\SYS\DOHADMIN\CONTRACTS\DENTALIUNC DENTAL ECOLOGY-0CHD DENTAL DIRECTOR.doc <br />
