<br /> (hereinafter referred to as the"Declarant').

<br /> WHEREAS,the Declarant is the owner of those certain tots and parcels and tracts of real property
<br /> (hereinaf�er referred to as the"Prc�perry" or"Properties") near the City of Durham,Township of Triangle,
<br /> County of Durham, State ofNorth Carolina,more particularly described in Eachibit A,which said Bachibit A
<br /> is attached hereto,made a part hereof and incorporated herein hy reference;and
<br /> . WHEREAS,Deciarant desires to ereate fln such Property a residential community of singie-family
<br /> residentia( dwellings to be known as the "KEENELAND MANOR SUBDIVISION" (hereinafter
<br /> sometirnes referred to as"KEENELAND MANOR SUBDIVIS[QN"or the"Subdivision");
<br /> WHEREAS, ta the extent thereof, Declarant shall designake on the various Plats af the
<br /> � �Subdivision and wiIl convey ta the"Assflciation"(as hereinafter defined}certain common areas designated •
<br /> as "OPEN SPACE l, 2, and 3", "SIGN AND LANDSCAPE EASEMENTS"�and "SEPTIC AREAS &
<br /> ACCESS{Iocated off individual lats,}(hereinafter refened to collectively as the"Common Areas"}on the
<br /> recorded map and/or plats of the Subdivision, including easements and rights-of-way, which are hereby
<br /> designated for the comman use and enjoyment of all the residents of the Subdivisian {as hereina$er
<br /> defined}, atthough Declarant makes no representatrons that any such Common Areas shall now ar may
<br /> hereafter exist; and
<br /> WNEREAS, Deciarant desires to provide far the upkeep and rnaintenance of the Comman Areas

<br /> that any storm water drainage systerns and facilities for the Subdivisipn anci any Off Lot Septic Areas and
<br /> Septic Force Main Areas are properiy maintained, and, to that end, desires tp subject ail of the Property
<br /> within the Subdivision to the covenants,conditions,restrictions,easetnents, charges, assessments and liens
<br /> hereinafter set forth, each and atl of which is and are for the benefit of said F'roperty, its present and
<br /> subsequent owners,and the Association as hereinafter specified;and
<br /> WHEItEAS, Declarant has deemed it advisable to create an organization to own, maintain and
<br /> administer the Comman Areas, to administer and enforce the covenants and restrictians and protective
<br /> covenants exciusiveiy applicable to the Subdivision, and to collect and disburse the assessments and
<br /> chaarges hereinafter created,and Declarant has caused or will cause to be incorporated under Na�tt�Carotina
<br /> taw as a nonprofit corporation, the "�EENELAND MANOR HOMEOWNERS AS50CIATION, INC."
<br /> (hereinafter refened to as the"Associatiod')for the purpose of exerc9sing the aforesaid functions.
<br /> NOW THEREFORE, DecIarant hereby declares that all of the Property described in the attached E�ibit A
<br /> {tagether with any property which may tie added pursuant ta the terms hereo� shall be owned, held,
<br /> . transferred, sold, conveyed and occupied subject to the foltowing easemenes, covenants, conditions,
<br /> restrictions,charges,assessments and liens set forth in this Declaration(hereinafter referred ta callectieely
<br /> as�the"Restrictions"), which said 12estrictions shatl run with[he titte to the Property and be hinding on all
<br /> parties owning any righE, title'or interest in said Property or any part thereof, their heirs, personal
<br /> representatives, successors and assigns, and shall inure to the benefit of the Property, each oumer theraf
