.4" <br /> NORTH CAROLINA <br /> COUNTYWIDE AGENCY INTERPRETER AND <br /> TRANSLATION SERVICES AGREEMENT <br /> ORANGE COUNTY <br /> This Interpreter and Translation Services Agreement("Agreement"), made and entered into this 1st <br /> day of July, 2012, ("Effective Date") by and between Orange County,North Carolina a body politic and <br /> corporate of the State of North Carolina ("County") and Chapel Hill Institute of Cultural and Language <br /> Education, L.L.C. (CHICLE), ("Provider"). <br /> WITNESSETH: <br /> For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts <br /> for the services of the Provider, and the Provider agrees to provide the following Interpretation and <br /> Translation Services (hereinafter referred to as "Services")to the County in accordance with the terms of <br /> this Agreement: <br /> A. Contract. This Contract consists of this document and additional documents checked below: <br /> a. For Health Department: <br /> i. Eg Health Department Additional Terms and Conditions <br /> ii. I Business Associates Agreement <br /> iii. 14 Condition of Contract Statement <br /> b. For Department of Social Services: <br /> i. The General Terms and Conditions(Attachment A); <br /> ii. I4 The Scope of Work,description of services,and rate(Attachment B); <br /> iii. Federal Certification Regarding Drug-Free Workplace(Attachment C); <br /> iv. Z Conflict of Interest(Attachment D); <br /> v. Eg No Overdue Taxes(Attachment E); <br /> These documents constitute the entire agreement between the Parties and supersede all prior oral or <br /> written statements or agreements. <br /> B. Services <br /> 1. Scope of Work. <br /> a. This Agreement is for the Provider to furnish the services of qualified interpreters and <br /> translators who speak and or write in English and a variety of other languages to County <br /> to provide interpretation and or translation of those languages to County staff and clients. <br /> b. By executing this Agreement, the Provider represents and agrees that Provider is <br /> qualified to perform and fully capable of performing and providing the services required <br /> or necessary under this Agreement in a fully competent, professional and timely manner. <br /> c. Time is of the essence with respect to this Agreement. <br /> d. The services to be performed under this Agreement consist of Basic Services, as <br /> described and designated in Section 3 hereof.
