LEGACY RESEARCH ASSOCIATES, INC. <br />GENERAL. TERMS AND CONDITIONS FOR SERVICES <br />This Agreement is by and between Legacy Research Associates, Inc. in Durham, North Carolina, <br />(CONSULTANT), and the County of Orange, North Carolina (CLIENT). CLIENT retains <br />CONSULTANT to perform a cultural resource survey for the CLIENT for the proposed 391 -acre <br />Little River Regional Park and Natural Area in Orange and Durham Counties, in return for cash <br />consideration to be paid by CLIENT under terms and conditions set forth below. <br />ARTICLE 1. SCOPE OF WORK <br />1.1 CONSULTANT will provide consulting services as set forth in the project proposal <br />(Attachment A). Scope of Work and the time schedules set forth in the Proposal are based <br />on information provided by the CLIENT. If this information is incomplete or inaccurate, or <br />if site conditions are encountered which materially vary from those indicated by CLIENT, or <br />if CLIENT directs CONSULTANT to change the original Scope of Work, a written <br />amendment equitably adjusting the costs, performance time and /or terms and conditions, <br />shall be executed by CLIENT and CONSULTANT. The estimated budget is included in the <br />Cost Proposal (Attachment B). <br />ARTICLE 2. COMPENSATION <br />2.1 CONSULTANT bills for its services at approximately 4 to 5 week intervals on a time -and- <br />materials basis using the Rate Schedules included in the above- referenced proposal. <br />2.2 If CLIENT objects to all or any portion of an invoice, it will notify CONSULTANT of the same <br />within fifteen (15) days from the date of receipt of the invoice and will pay that portion of <br />the invoice not in dispute, and the parties shall immediately make every effort to settle the <br />disputed portion of the invoice. If litigation is required to collect any amounts owing <br />CONSULTANT, CLIENT shall pay all costs of collection including reasonable attorney fees. <br />2.3 Payment shall be due upon receipt of CONSULTANTS invoice. A 1.5% per month interest <br />charge will be assessed on all outstanding balances over 30 days from date CLIENT <br />receives the invoice. In addition, CONSULTANT may, after giving seven (7) days written <br />notice to CLIENT, suspend its Services and retain any deliverables until CONSULTANT has <br />been paid in full for all amounts outstanding under these terms. <br />ARTICLE 3.
