which is not disposed of by agreement, between TRC and Orange County shall be decided by a <br />court of competent jurisdiction of the State of North Carolina. <br />19.2 In the event that TRC must resort to legal action to enforce any provision of this Agreement, <br />Orange County agrees to pay attorney fees and other costs resulting from such action. <br />ARTICLE 20. ASSIGNMENTS <br />20.1 Neither party shall assign or transfer this Agreement without the prior written consent of the other <br />party. As a condition of any such written consent, such assignment shall be subject to the Terms <br />and Conditions herein and no greater rights or remedies shall be available to the assignee. <br />ARTICLE 21. CAPTIONS <br />21.1 The captions of these Terms and Conditions are intended solely for the convenience of reference <br />and shall not define, limit or affect in any way the provisions, terms and conditions hereof or their <br />interpretation. <br />ARTICLE 22.
