Orange County retains TRC to c~nduct a~nltnral and <br />Archaeningical SnrvP,~ nf the Chanel Hill T~wnchi= Park and Filncatinnal C'am= n~, in return for cash <br />consideration to be paid by Orange County under terms and conditions set forth below. <br />ARTICLE 1. SCOPE OF WORK <br />1.1 TRC will provide consulting services as set forth in rhP Prinncal (Attachment A). Scope of Work <br />and the time schedules set forth in rhe Prc, c,n cai are based on information provided by the Orange <br />County Environment and Resource Conservation Department (ERCD). If this information is <br />incomplete or inaccurate, or if site conditions are encountered which materially vary from those <br />indicated by ERCD, or if ERCD directs TRC to change the original Scope of Work, a written <br />amendment equitably adjusting the costs, performance time and/or terms and conditions, shall be <br />executed by Orange County and TRC. The lump sum fee is stated in the Pr Zr,c,cal (Attaclunent A). <br />ARTICLE 2. COMPENSATION <br />2.1 For the Services rendered hereunder, Orange County agrees to pay TRC the fixed amount <br />specified in the attached scope of services and/or any attachment thereto. <br />2.2 TRC will submit monthly invoices for Services rendered, and Orange County will make payment <br />within 30 days of receipt of TRC's invoices. If Orange County objects to all or any portion of an <br />invoice, it will notify TRC of the same within fifteen days from the date of receipt of the invoice <br />and will pay that portion of the invoice not in dispute, and the parties shall immediately make <br />every effort to settle the disputed portion of the invoice. <br />2.3 If ERCD fails to make any payment due TRC within 30 days after receipt of an invoice, then the <br />amount due TRC will increase at the rate of 1.0 percent per month after the 30th day. In <br />addition, TRC may, after giving 7 days' written notice to Orange County, suspend its Services <br />and any deliverables until TRC has been paid in full for all amounts outstanding more than 60 <br />days. <br />ARTICLE 3.
