d h 10, Orange County Y5, Department on Aging Vendor Agreement This Vendor Agreement is entered into this 1st day of October,2002 between Home Health Solutions, hereinafter known as the Vendor,and Orange County on behalf of the Department on Aging,hereinafter known as the Department. The period and duration of the Agreement shall be from October 1,2002 to June 30,2003. WITNESSETH: WHEREAS,the Department desires to engage the Vendor to render certain technical and professional services,hereinafter described,now therefore the parties hereto mutually agree as follows: 1) DEPARTMENT AGREES AND MAINTAINS THE RIGHT: 1. To assist in conducting interviews for potential nurse aides,and to uphold each candidate to the certified nurse aide job description(see attachment). 2. To determine eligibility of prospective clients for adult day health services in accordance with federal and state guidelines. 3. To amend this agreement as needed at any time to ensure that Orange County is in compliance with the N.C.Division of Aging Adult Day Center standards,and to provide notice of such amendments as quickly as practicable to the Vendor. 4. To employ an on site Nurse supervisor from the UNC School of Nursing to oversee the vendor's nurses aides in carrying out the clients care plan. 5. To provide a current copy of the clients care plan to the vendor for coordinated service provision. 6. To not employ directly a nurse aide of the vendor for the Central Orange Adult Day Health Center. 2) THE VENDOR HEREBY AGREES: 1. To provide Nursing Assistants(NA1 or NA2),certified by the N.C.Division of Facility Services, to provide nursing assistant care for participants enrolled in the Central Orange Adult Day Health Center. 2. To have an adequate number of aides hired and available to work in Orange County on the date this agreement is signed,as recruited and hired. 3. To provide at least one substitute nurse aide for each aide who will be staff at the center,in accordance with the N.C.State Standards for adult day centers. 4. To provide consistent aide assignment over the service period stipulated by the Department. 5.
