ATTACHMENT-B <br />CONFIDENTIALITY AGREEMENT <br />This Confidentiality Agreement made and entered into this 12th day of March, 2012, <br />("Effective Date") by and between Orange County, North Carolina a body politic and <br />corporate of the Sta.te of North Carolina (hereinafter, the "County") and Starpoint Global <br />Services, (hereinafter, the "Provider"). <br />WITNESSETH• <br />That the County and Provider, for the consideration herein named, do hereby agree <br />as follows: <br />1. Confidential Information. As used in this Confidentiality Agreement, <br />"Confidential Information" shall include but not be limited to Social Security <br />Numbers, Tax Ids, financial information, all nonjudicial records maintained by <br />the Orange County Child Support Enforcement (CSE) pertaining to child-support <br />enforcement, medical information and any other data or information deemed <br />confidential pursuant to the Health Insurance Portability and Accountability Act <br />(HIPAA) and information deemed confidential pursuant to G.S. 108A-71 and <br />G.S. 110-139(b). <br />2. CSE shall provide access to the confidential inforxnation and data for the purpose <br />of performing the services described in Attachment A to the Agreement. <br />3. Provider its officers, employees, agents and representatives shall maintain the <br />confidentiality of all will maintain and preserve the confidentiality of all data and <br />information obtained while scanning and indexing child support files and records. <br />Additionally, Provider shall ensure that the Confidential Information is not <br />disclosed, removed, modified, deleted, destroyed or damaged during the <br />performance of the Basic Services except as provided in the Agreement. <br />4. Upon termination of the Agreement, or otherwise, all CSE data, documents, and <br />information shall be promptly retuned to CSE. <br />5. Provider understands that Orange County would be irreparably and immediately <br />harmed by Provider's or its employees' failure to safeguard confidential data, and <br />may result in the imposition of substantial penalties and civil and criminal <br />prosecution for violations of State and Federallaws. <br />6. In the event Provider or any of its employees observe any conditions that could <br />cause said Confidential Information to be compromised in any way, each <br />understands that it is their responsibility to take action to safeguard this data and <br />report the incident to their manager who shall immediately the CSE Director. <br />7. Provider hereby agrees to indemnify, hold harmless and indemnify Orange <br />County, its officers, employees, advisors, agents and representatives, contractors, <br />
