IV. COMPENSATION <br /> For the services required by this Agreement, ORANGE COUNTY, agrees to pay <br /> UNC-Chapel Hill an hourly rate of$32 per hour for all services rendered. The parties <br /> agree that the compensation provided herein has been determined in arm's length <br /> bargaining, and is consistent with fair market value in-arm's-length transactions. <br /> Furthermore,UNC-Chapel Hill's compensation is not and has not been determined in a <br /> manner that takes into account the volume or value of any referrals or business otherwise <br /> generated for or with respect to ORANGE COUNTY or between the parties for which <br /> payment may be made in whole or in part under Medicare or any state health care <br /> program or under any other payor program. The UNC-Chapel Hill will invoice <br /> ORANGE COUNTY, monthly for services rendered during the previous month and each <br /> invoice will be payable within 30 days of the date of ORANGE COUNTY 's receipt of <br /> such invoice. No other charges or payments are inclusive of this agreement. The terms of this Agreement may be altered, amended or modified only by an <br /> agreement in writing executed by the duly authorized officials of both parties. None of <br /> the work to be performed under this Agreement, which involves the specialized skills or <br /> expertise of the UNC-Chapel Hill, shall be subcontracted. <br /> B. The term of this Agreement shall be from September 1, 2002 - June 30, 2003 <br /> and may be renewed for one additional year upon mutual written agreement by all <br /> parties. Either party may terminate this contract upon 60 days prior written notice to the <br /> other party without cause. Upon termination, all participant health care records and any <br /> proprietary information belong to the ORANGE COUNTY, shall be delivered to the <br /> ORANGE COUNTY ADULT DAY HEALTH CENTER within 30 days of the effective <br /> date of termination.
