this Agreement shall lie exclusively in the North Carolina General Court of Justice, with venue in <br /> Orange County. <br /> SECTION 20 <br /> Suspension Of Work: For any undisputed invoice outstanding for more than forty-five (45) days <br /> from the date of the County's receipt of the invoice, the Contractor has the option to suspend all <br /> Services specified under this Agreement until the account is brought current. Continued <br /> performance and/or completion of Services by the Contractor under this Agreement is contingent <br /> upon payment of undisputed invoices by the County in accordance with the Agreement. <br /> SECTION 21 <br /> Notice: All approvals, authorizations and consents must be in writing or be confirmed by the <br /> County and Contractor in writing to be effective pursuant to this Agreement.
