Austin Genke, Owner - Boxcarr Farm <br />• Chef / Food Truck Owner <br />• Farmer / Farmers' Market vendor <br />• PFAP Client <br />All suggested candidates are Orange County residents. <br />Commissioner Barry Jacobs, who currently serves as the PFAP steering committee chair, has <br />also indicated in a proposal (Attachment 2) an interest in serving as a Director on the non-profit <br />PFAP board. <br />Selection of Orange County's PFAP board members could be achieved in the traditional <br />manner of advertising and making a selection from a pool of general candidates. However, the <br />disadvantage of that approach is selection of a board that may not have individuals who are <br />qualified in food processing, general manufacturing practices, and small business development. <br />In addition, PFAP's board members will be serving on a non-profit board, not an advisory board, <br />and therefore, will have some personal liability. Furthermore, there is a need to move quickly to <br />form the board, due to ongoing efforts to establish PFAP as a 501(c) (3) nonprofit organization. <br />For these reasons, the recommended approach to selecting ideal board members, in this case, <br />is to consider the candidate names that have been submitted. <br />FINANCIAL IMPACT: There is no direct financial impact with appointing directors to the <br />nonprofit entity. <br />RECOMMENDATION(S): The Manager recommends the Board discuss the applicants and <br />appoint three directors, designating one appointee as an Orange County specific appointee. <br />If the Board decides to appoint a County Commissioner to the PFAP non-profit Board of <br />Directors, the appointment should be as an individual, not as a representative of County <br />government. Once the initial PFAP Board of Directors is established, it will not have any direct <br />relationship to County government, and the Board of Commissioners will have no future role in <br />selection of PFAP board members. <br />PFAP and the County will have several contractual relationships regarding the use of the <br />building and other services that PFAP might consider in the future. <br />
