Grantor w~rrants that thero are no notices by any governmental <br />~uthority of any violation or alleged viol~tion of, noircompliance or alkged nan-compliance <br />with or any liability unckr any Envimnmental Law relating to the operations or conditions of the <br />Prapcrty. <br />Grantor warrants t~at he has no actual tcnowledge of a release or threatened release of any <br />Hazardaus Materials on, at, beneath or from the Propcrty exceed'tng regulatory limits. Morcover, <br />Gr~ntors hereby promise to indemnify and hotd harmless the Grantee, NCDACS, and the United <br />States against all costs, claims, demands, penalties and damages, including reasonable attorney <br />fees, arising from or connectcd with the relcase or threatentd release of any H~zardous Materials <br />on, at, beneath or from the Property, or arising from or connected wit~ a vialation of any <br />Environmental Laws by Grantor or any other prior owner of the Property. Grantor's <br />indemnification obligation shall not be affected by any authorizatians provided by Grante~ the <br />NCDACS, or the United States to Grantor with respect to the Property or any restoration <br />activities carried out by Grantee at the Property; provided, however, that Grantee shall be <br />responsible for any Hazardous Materials contributed by Grantee to th~ Praperty after the date of <br />this Deed of Conservation Easement. <br />32. Errtire .lgreement <br />This instrument sets farth the entire agrcement of the parties with respect to the <br />Conservation Easement and supersedes all prior discussions, negotiations, a-nd understandings or <br />agreements relating to th~ said easetnent. <br />33.
