the intent of this provision to require the Caretaker to indemnify the County to the fuilest <br />extent permitted under North Carolina law. <br />18) County Responsibilities <br />The County will: <br />a) Assign Caretaker duties. <br />b) Schedule Caretaker duties not to exceed the 15 hours per week regular work <br />schedule. <br />c) Review the Caretaker's work perFormance, including an annual perFormance <br />review. Annually assess the effectiveness of the Caretaker arrangement. <br />d) Provide required uniform apparel. <br />e) Provide required training in any additional certifications and ficenses required for <br />the performance of Caretaker duties. <br />fl Provide the major capital improvement work required for the residence, including <br />plumbing repair, paint in accordance with an established paint schedule, roof <br />work, electrical work, heating and air conditioning repair and the like. <br />g) Coordinate the times and nature of County maintenance or repair work with the <br />Caretaker. <br />h) Conduct a pre-move-in inspection/inventory and a semi-annual <br />inspection/inventory of the residence, noting the condition of the interior/exterior <br />and all County-owned appliances and equipment, which is documented and <br />signed by both the Caretaker and the Superintendent of Parks. <br />19) General Provisions <br />a) Waiver - Failure of the County to require compliance by the Caretaker with any <br />provisions of this Agreement or the waiver by the County of any breach of this <br />Agreement shall not constitute a waiver of any claim for damages by the County for <br />any breach of this Agreement or a waiver of any other required compliance with this <br />Agreement. <br />b) Governing Law - This Agreement and the duties, responsibilities, obligations and <br />rights of respective parties hereunder shall be governed by the laws of the State of <br />North Carolina. <br />c) Dispute Resolution - Any and all suits or actions to enforce, interpret or seek <br />damages with respect to any provision of, or the perFormance or non-perFormance of, <br />this Agreement shall be brought in the General Court of Justice of North Carolina <br />sitting in Orange County, North Carolina. <br />d) Entire Agreement - This Agreement represents the entire and integrated agreement <br />between the County and the Contractor and supersedes all prior negotiations, <br />representations or agreements, either written or oral. This Agreement may be <br />amended only by written instrument signed by both parties. Modifications may be <br />evidenced by facsimile signatures. <br />
