EXHIBIT A <br />Term and Scope of Services <br />This Agreement shall become effective on this day of ~o , 2011 <br />and shall continue in full force and effect until the day ofd, <br />Consultant represents that it has, or will secure at its own expense, all personnel <br />required in the performance of services under this Agreement. Consultant <br />reserves the right to subcontract for services hereunder. Consultant agrees to <br />notify Client in writing of any such subcontracts. All of the services required <br />hereunder will be performed by Consultant or under its supervision, and all <br />personnel engaged in the work shall be fully qualified to perform the services <br />described herein. Consultant shall commence, carry on, and complete the <br />services with all practicable dispatch, in a sound, economical, and efficient <br />manner, in accordance with the provisions herein and all applicable laws. <br />Scope of Services. The Consultant shall do, perform and carry out in a good <br />and professional manner the following services: <br />a) Development of a central services cost allocation plan, which <br />identifies the various cost incurred by the County to support and <br />administer Federal programs. This plan will contain a <br />determination of the allowable cost of providing each supporting <br />services such as purchasing, legal counsel, disbursement <br />processing, etc. <br />b) Prepare indirect cost proposals for federal grants as necessary. <br />c) Negotiation, of the completed cost allocation plan, with the <br />representatives of the State or federal government, whichever is <br />applicable. <br />d) Prepare the County's EMS Medicaid Cost Report. <br />6 <br />
