12 <br />County's plans and specifications, County will apply for any and all permits and <br />other governmental approvals necessary to perform County's Work and County <br />will diligently prosecute such application until approved. County shall not modify <br />County's plans and specifications approved by Landlord without Landlord's prior <br />written consent, which consent shall not be .unreasonable withheld. Upon <br />Landlord's delivery of the Demised Premises, and provided Landlord has <br />approved County's plans arid specifications, County will commence construction <br />of County's improvements to the Demised Premises in .accordance with the <br />plans and specifications approved by Landlord. Work completed by County shall <br />be consistent with laws governing County construction projects and County shall <br />provide Landlord a copy of such construction documents prior to commencement <br />of County's Work. County shall submit to Landlord for Landlord's approval <br />County's plans and specifications for County's exterior signage in accordance <br />with Exhibit "E" of this Lease (see Section 17). County must receive Landlord's <br />consent to its exterior signage plans and specifications prior to installation of <br />County's exterior signage upon the Demised Premises. Landlord requires <br />County to install its approved exterior signage, at County's sole cost and <br />expense, prior to the date County opens for business to the public from the <br />Demised Premises. <br />County shall be required to clean. all H.V.A.C. filters clogged with dust, or other <br />materials resulting from its construction activities. <br />12. CONSTRUCTION OR ALTERATIONS BY COUNTY. <br />(a) County may not make any alterations to the Demised Premises without prior <br />written consent of Landlord, and pursuant to all requirements of Section 11. <br />Such alterations shall be pertormed in a good and workmanlike manner and in <br />accordance with applicable legal requirements including mechanics' lien laws, <br />insurance requirements, and the terms of this Lease. Nothing contained within <br />this Lease shall be construed as a prohibition against County's replacement or <br />installation of windows, skylights, or other day lighting whatsoever regardless of <br />whether roof or wall. penetrations are required for such installation, <br />(b) County agrees to indemnify (to the extent of insurance policies owned by the <br />County and to the extent of applicable law) and hold Landlord harmless from <br />and against any and all. liabilities incurred by County or claimed or charged <br />against the Demised Premises on account bf any claims, expenses or liens <br />incurred by County in connection with the Demised Premises and not to permit to <br />be attached or recorded against the Demised Premises or any other portion of <br />the Shopping Center any lien, encumbrance or charge arising out of any. work <br />pertormed or materials furnished by any contractor, mechanic, laborer, or <br />materialman for or at the request of County. County will not enter into any <br />mortgages, conditional sale, and security agreement or like instrument nor suffer <br />any other matter or thing whereby the estate, right and interest of Landlord in'the <br />Demised Premises or any part thereof might be impaired or diminished.
