bct- <br /> LETTER OF AGREEMENT <br /> This Agreement, made and entered into on this the _23rd_ day of August, 2011 between the <br /> Orange County, North Carolina, a body politic and corporate organized under the laws of the <br /> State of North Carolina ("County") and the University of North Carolina at Chapel Hill by and <br /> through its Institute for the Studies of the Americas and School of Government (collectively <br /> "UNC"). The purpose of this Agreement is for UNC to assist the County and diverse community <br /> stakeholders within the County to generate locally-relevant immigrant integration strategies and <br /> outcomes. <br /> 1. Services Provided by UNC. Plan and facilitate up to 3 community workshops, help develop <br /> strategies to address identified challenges and action plans; provide examples of promising <br /> practices; and administer evaluation of community's progress one year after actions plans are <br /> implemented. A more complete description of assistance is outlined in the RFA. <br /> 2. Services Provided by the County. Provide logistical support and meeting space and food for <br /> the workshops; identify and recruit diverse, local stakeholders to participate in the program; <br /> participate in all of the community workshops; assume responsibility for communication <br /> among stakeholders, and create and implement action plans on a sustained basis. <br /> 3. Term of Services. The term of the services shall be between March 2011 —March 2013. <br /> 4. Compensation. The County will provide no monetary compensation to UNC. UNC will <br /> provide in-kind support by providing experts in local government, community collaboration, <br /> and immigration. Support for the services is funded primarily by a grant from the Z. Smith <br /> Reynolds Foundation. At this time UNC is unable to provide implementation grants but will <br /> notify the County if this changes. <br /> 5. Materials. UNC shall provide the County with meeting agendas and substantive handouts. <br /> 6. Independent Contractors. The Parties shall operate as independent of one another, and shall <br /> not be responsible for the other's acts or omissions. Neither Party shall be treated as an <br /> employee with respect to the other for the Services performed hereunder for federal or state <br /> tax, unemployment or workers' compensation purposes. Each Party is responsible for <br /> insuring and the conduct of its own employees. <br /> 7. Liaisons and Point of Contact.
