17 ATTACHMENT 3 BILL OF SALE (Water Distribution and Sewage Collection System) KNOW ALL MEN BY THESE PRESENTS, Orange County, North Carolina, whose principal post office address is Post Office Box 8181, 200 South Cameron Street, Hillsborough, NC 27278, hereinafter referred to as Seller, for and in consideration of the sum of Ten Dollars ($10) and good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby grant, bargain, convey, sell and transfer to the CITY OF MEBANE, whose post office address is 106 East Washington Street, Mebane, NC 27302, hereinafter referred to as Buyer, its successors and assigns: that certain Water Distribution and Sewage Collection system (design by Coulter, Jewell & Thames, PA, project #0459 dated 6/22/2007) (as-built drawings entitled Orange County, North Carolina, Buckhorn Water and Sewer Extensions 2006, also known as Buckhorn Mebane Utilities Phase I) approximately 7575 LF of 6" Sewer Force Main approximately 1085 LF of 8" Sewer Gravity approximately 205 Gallons Per Minute (GPM) (upgradeable to 325 GPM) Gravelly Hill Sewer Pump Station approximately 9835 LF of 12" DIP Water Main, and that certain Water and Sewage Collection system that serves the Gravelly Hill Middle School and Orange County Soccer Center designed, permitted and certified by Coulter, Jewell & Thames, PA, Mike Hammersley, PE, Reg. No. 13350 on September 20, 2006. TO HAVE AND TO HOLD the same unto the Buyer, its successors and assigns forever. AND SELLER, its successors and assigns, covenants to and with the Buyer that Seller is the lawful owner of the above described personal property, free and clear of all encumbrances, and that it will warrant and defend the sale of said property against the claims and demands of all other persons whatsoever.
