23 <br />WHEREAS, in furtherance of the terms and conditions of the Grant Ageement, the Assignor <br />desires to assign its right, title, and interest in said Conservation Easement to County, and <br />County has agreed to this Assignment. <br />NOW, THEREFORE, in consideration of grant monies paid by Fund to Assignor; the <br />mutual benefits accruing to State, Assignor, and the public from the Conservation Easement <br />herein referenced and assigned, and other good and valuable consideration, the receipt and <br />sufficiency of which are herein acknowledged, Assignor hereby conveys and assigns to County, <br />all the right, title, easement, privilege and interest (and subject to all conditions contained <br />therein), in that certain Conservation Easement conveyed to Assignor by Trinity School of <br />Durham and Chapel Hill dated the day 2003, and recorded in Deed Book <br />Page, ,Orange County Register of Deeds, Orange County, North Carolina and <br />recorded in Deed Book _, Page, Durham County Register of Deeds, Durham <br />County, North Carolina . <br />TO HAVE AND TO HOLD the said right, privilege and easement herein granted and <br />assigned to Orange County, North Carolina its successors and assigns in perpetuity. <br />AND THE ASSIGNOR covenants that it is properly vested with the Conservation Easement; <br />has the right to assign the same to County; that said Conservation Easement is free frorn <br />encumbrances, except as may be expressly excepted to by the terms and conditions of the <br />Conservation Easement; and that Assignor will warrant and defend title to the same against the <br />claims of all persons whomsoever. <br />IN WITNESS WHEREOF, Triangle Land Conservancy, has executed the foregoing in its <br />corporate name, under seal, and signed by Elizabeth Rooks, President with proper authorization <br />by Board of Directors of Assignor, the date and year first above written. <br />ASSIGNOR: Triangle Land Conservancy <br />BY: <br />Elizabeth Rooks, President <br />STATE OF NORTH CAROLINA <br />COUNTY <br />[CORPORATE SEAL] <br />I, , a Notary Public of the County and <br />State aforesaid, hereby certify that Elizabeth Rooks of the Triangle Land Conservancy, <br />personally appeared before me this day and acknowledged the execution of the foregoing <br />instrument. <br />
