LOGISYS-License and A-fainte"Once Agreement <br /> ORANGE:COMITY, Chapel Hill,AtC Page 4 of <br /> LOGISYS acknowledges that CUSTOMER is a governmental entity and as such is <br /> subject to regulations governing public information. CUSTOMER will notify LOGISYS <br /> in the event a request for information may conflict with the terms cited herein. However, <br /> CUSTOMER will release information in accordance with the then prevailing laws <br /> governing such matters. LOGISYS agrees to hold CUSTOMER harmless from the terms <br /> of this Agreement in such event when CUSTOMER would have been in violation of <br /> public information laws had information been withheld. <br /> The provisions of this paragraph shall survive the termination of the remainder of this <br /> Agreement for a period of five(5)years from the date of termination. <br /> 7. LIMITATION OF LIABILITY <br /> LOGISYS shall not be liable to CUSTOMER for any loss or damage to CUSTOMER or any <br /> third party, caused by failure of the computer programs furnished hereunder to function, in <br /> whole or in part, nor shall LOGISYS be liable for any incidental or consequential damages <br /> under this Agreement. <br /> & WARRANTY <br /> LOGISYS warrants that the SERVICES and PROGRAM MATERIALS furnished and <br /> installed pursuant to this Agreement shall perform to their published specifications and shall be <br /> free of program coding errors. LOGISYS's obligation under this warranty shall be to remedy <br /> any failure to perform to the published specifications and to correct program coding errors as <br /> soon as is reasonably possible after notification by CUSTOMER of such failure to perform, or <br /> coding errors. <br /> EXCEPT FOR THE FOREGOING WARRANTIES LOGISYS MAKES NO <br /> WARRANTIES EITHER EXPRESS OR IMPLIED WITH RESPECT TO THE <br /> SERVICES AND PROGRAM MATERIALS,-INCLUDING BUT NOT LIMITED TO <br /> THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A <br /> PARTICULAR PURPOSE <br /> 9. TERMINATION <br /> a. CUSTOMER may terminate this Agreement by giving LOGISYS sixty (60) days prior <br /> written notice by registered mail with return receipt requested. After this period of sixty <br /> (60) days, the CUSTOMER's obligations for payments as described in Section 4 will cease <br /> in proportion to services rendered, <br />
