In the event.that CUSTOMER shall at any time neglect, fail or refuse to comply with the <br /> terms of this Agreement, LOGISYS may at its option elect to terminate this Agreement by <br /> giving CUSTOMER sixty(60) days prior written notice with return receipt requested. <br /> c. Upon termination of this Agreement, CUSTOMER shall deliver within thirty (30) days to <br /> LOGISYS all PROGRAM MATERIALS, including but not restricted to computer program <br /> disks, support documentation, printed materials furnished hereunder or subsequently by <br /> LOGISYS and copies of said materials made by CUSTOMER. Further, CUSTOMER shall <br /> warrant in writing that all copies of the PROGRAM MATERIALS stored in CUSTOMERs <br /> computer have been destroyed. <br /> 10. CONTINUATION OF BENEFITS <br /> This Agreement shall inure to the benefit of and be binding upon the heirs, executors, <br /> administrators, assignees and successors of the respective parties. <br /> 11. NON-WAIVER <br /> No delay or failure of LOGISYS in exercising any right hereunder and no partial or single <br /> exercise thereof shall be deemed of itself to constitute waiver of such right or any other rights <br /> hereunder. <br /> This Agreement constitutes the complete and exclusive statement of the Agreement between the <br /> parties which supersedes all proposals, oral or written, and shall not be modified or altered except <br /> in writing by both parties. <br /> Executed as of the day and year written above. <br /> LOGISTIC SYSTEMS, INC.
