LOGISTIC SYSTEMS INC. <br /> LICENSE AND MAINTENANCE AGREEMENT <br /> FORA <br /> COMPUTER-AIDED DISPATCH SYSTEM <br /> I <br /> THIS AGREEMENT executed on this /oZ day of I&LeUk.. is entered <br /> into by and between LOGISTIC SYSTEMS, INC., a Montana corporation, of 3000 Palmer <br /> Street, Missoula, Montana, (hereinafter referred to as "LOGISYS") and Orange County <br /> Emergency Management Service, 1914 New Hope Church Road, Chapel Hill, North Carolina <br /> (hereinafter referred to as"CUSTOMER")under the following terms and conditions. <br /> 1. LICENSE AGREEMENT <br /> a. LOGISYS agrees to grant and CUSTOMER agrees to accept a non-exclusive and <br /> non-transferable license to use the FirstCall (previously known as LogiCAD) software <br /> products (hereinafter referred to as "PROGRAM MATERIALS") on the terms and <br /> conditions contained herein; and <br /> b. CUSTOMER agrees that the PROGRAM MATERIALS have been installed on hardware <br /> acquired by CUSTOMER in conjunction with the PROGRAM MATERIALS. <br /> 2. LICENSE AND MAINTENANCE FEES <br /> a. In consideration for the license as described in Paragraph l (a) above and for the <br /> maintenance services as described in Paragraph 5, CUSTOMER will pay the following <br /> annual License and Maintenance Fees: <br /> TOTAL ANNUAL LICENSE AND MAINTENANCE.......................................$ 5,520.00 <br /> (Effective January 1, 1994) <br /> b. CUSTOMER agrees to pay a total of$10,475.33 for license and maintenance from January <br /> 1, 1994 through June 30, 1997, pursuant to a letter from LOGISYS dated June 9, 1997 and <br /> incorporated herein by reference. <br /> i <br />
