2 <br />Draft 2/14/03 <br />Cost-Sharing Agreement <br />For <br />Digital Orthophoto Services and Products <br />THIS AGREEMENT, made this day of , 2003, by and between the Town <br />of Chapel Hill, North Carolina (hereinafter referred to as the "Town") and Orange <br />County, North Carolina (hereinafter referred to as the "County"). <br />WHEREAS, the County participated with the Town when the Town issued a <br />Request for Proposals (hereinafter the "RFP") on December 12, 2002 to obtain digital <br />orthophoto mapping services and products; and <br />WHEREAS, in January 2003, the County participated with the Town in <br />evaluating all proposals received and in selecting Sanborn Corporation, Charlotte, NC <br />(hereinafter referred to as the "Contractor") to provide digital orthophoto mapping <br />services and products as described in the Contractor's proposal and in the attached <br />January 23, 2003 detailed description of project deliverables; and <br />WHEREAS, the Town's contract with the Contractor includes certain digital <br />orthophoto services and products requested by the County. <br />NOW, THEREFORE, in consideration of the mutual covenants, promises, and <br />representations. contained herein, it is agreed between the parties hereto as follows: <br />the County agrees to purchase from the Town, upon satisfactory <br />completion by the Contractor in accordance with the proposal <br />specifications and the attached January 23, 2003 description of <br />deliverables, and for the prices indicated, the following digital <br />orthophoto services and products included in the Town's contract <br />with the Contractor. <br />*Color aerial photography, ground control, and FART <br />(for 445 each 1 "=200' scale color digital orthophotos)... $24,124.39 <br />*Additional copy of digital data for Chapel Hill <br />and Carrboro areas ............................................. $ 1.475.00 <br />Orange County Total $25,599.39 <br />2. Subject to approval of funding in Fiscal Year 2003-2004, the County <br />further agrees to purchase from the Town, upon satisfactory completion by <br />the Contractor in accordance with the proposal specifications and the <br />attached January 23, 2003 description of deliverables, 445 each 1 "=200' <br />scale color digital orthophotos to be generated from the photography, <br />ground control, and FART listed above, for a price of $39,876.41. <br />1 <br />e <br />
