6i <br />North Carolina (the "Landfill Property'), (b) in an instrument recorded in Deed Book 2894 at <br />Page 283 of the orange County Registry, North Carolina, and (c) in an instrument recorded in <br />Deed Book 1009 at Page 437 of the Orange County Registry, North Carolina (clauses (a), (b) and <br />(c) collectively, "Grantor's Properties "). <br />WHEREAS, the University of North Carolina at Chapel Hill ( "University ") and Grantor <br />are parties to that certain Landfill Gas Agreement, -dated as of February 17, 2009 (the "LFG- <br />Agreement "), which requires University to collect methane gas from the landfill located on <br />Eubanks Road, Chapel Hill and transfer the gas by pipeline to a property located off of <br />Homestead Road, Chapel Hill for use as an alternative energy source (the "LFG Project "). <br />WHEREAS, the LFG Agreement requires Grantor to grant the University, without <br />additional University payment beyond the compensation set forth in the LFG Agreement, such <br />easements through the Landfill Property and other property owned by the Grantor as may be <br />necessary for the University to drill methane gas extraction wells, and to install pipelines, lateral <br />lines, header lines, pumps, blowers, condensate knock -out vessels, a flare, and other related <br />equipment on Grantor's Properties (collectively, the "LFG Equipment "), and a ductbank, <br />electrical lines and other related equipment on Grantor's Properties (the " Duckhank <br />Equipment "). <br />WHEREAS, the execution of this instrument for and on behalf of the State of North <br />Carolina has been duly approved by the Council of State by resolution adopted at a meeting held <br />in the City of Raleigh, North Carolina, on the 7th day of December, 2010. <br />NOW, THEREFORE, in consideration of the sum of ONE DOLLAR ($1.00) and other <br />good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor does <br />2 <br />{oa042175.DOCx s} <br />
