13. Access to the Source Code. Access to the source code shall be governed by the <br />Escrow Agreement attached hereto as Exhibit D. <br />14. Notices. Any and all notices, demands, or other communications required or <br />desired to be given hereunder by either Party shall be in writing and shall be validly <br />given or made to the other Party if personally served, deposited in the United States <br />mail, certified or registered, postage prepaid, return receipt requested, or delivered to <br />Federal Express or any similar express delivery service for delivery the next business <br />day. If such notice or demand is served personally, notice shall be conclusively deemed <br />given at the time of such personal service. If such notice, demand or other <br />communication is given by mail as described above, such notice shall be conclusively <br />deemed given three business days after deposit in the mail, or if delivered to an express <br />delivery service as described above, such notice shall be conclusively deemed given <br />the next business day after so delivered.
