PATRIOT PROPERTIES, INC. <br />COUNTY SOFTWARE SUPPORT AND LICENSE AGREEMENT <br />THIS SUPPORT AND LICENSE AGREEMENT, dated November 16, 2009 ("effective <br />date ") is between Patriot Properties, Inc., a Massachusetts corporation- with a place of business <br />at 330 Lynnway, Lynn, Massachusetts 01901 (hereinafter Patriot); and County of Orange, North <br />Carolina, a government organization organized under the laws of the State of North Carolina <br />with a place of business at 200 South Cameron Street, Post Office box 8181 Hillsborough, <br />North Carolina 27278 (hereinafter "County"). <br />WHEREAS: Pursuant to an Agreement dated November 16, 2009, (the "Contract ") County <br />retained Patriot to provide a computer system which includes certain Application Software; and <br />WHEREAS: Pursuant to the Contract County now is using such Application Software; and <br />WHEREAS: Pursuant to the Contract, the parties have agreed to enter into this License and <br />Support Agreement relating to such Application Software upon expiration of the Contract and <br />full payment of the purchase price for the Application Software; <br />NOW THEREFORE, It is mutually agreed by and between the parties as follows: <br />1. License. Provided that County pays the License and Support Fee designated <br />herein, Patriot grants and the County accepts a nontransferable, non - exclusive, perpetual <br />license to use the Application Software listed on Schedule A hereto subject to the terms of this <br />License and Support Agreement. <br />2. Support. <br />A. Pursuant to this License and Support Agreement and in exchange for the <br />License and Support Fee set forth on Schedule A, Patriot will provide Support for the <br />Application Software, for the Term, on the conditions set forth herein and in all attachments, <br />hereto. As used herein, "Support" shall mean all reasonable efforts required to insure that each <br />portion of the Application Software will operate in the same manner, and perform the same <br />functions, as it did at the time of Acceptance of such portion by County, as that term is defined <br />in the Contract. <br />B. Patriot agrees to provide unlimited, toll -free "800" telephone lines from 8:00 a.m. <br />to 5:00 p.m., Eastern Standard Time, Monday through Friday, excluding national holidays. <br />C. Patriot agrees to extend availability of service coverage for weekday and <br />weekend coverage if County provides notice of the need of such extended coverage at least <br />seven (7) days in advance and agrees to pay the surcharge requested by patriot at the time of <br />notification. <br />D. Support is provided through a specific format. <br />The support desk takes the initial call. The majority of problems are <br />solved at this level.
