5. Meetings. This Contract includes attendance by CONTRACTOR at <br />meetings, as identified in the Scope of Services, to make <br />presentations or to otherwise review the progress of the work. <br />6. Reports. CONTRACTOR shall prepare and submit to COUNTY reports <br />as called for in the Scope of Services. <br />7. Compensation. CONTRACTOR agrees to perform the services provided <br />for in this Contract and the Scope of Services and COUNTY agrees <br />to compensate CONTRACTOR for such services as set forth in this <br />Contract and in Addendum A and the documents attached thereto. <br />Payment to CONTRACTOR will be made within 30 calendar days after <br />receipt of invoice or within 30 calendar days after acceptance of <br />deliverables by COUNTY, whichever is later, upon submission by <br />the CONTRACTOR of evidence satisfactory to the COUNTY that all <br />payrolls, material bills, and other costs incurred by the <br />CONTRACTOR in connection with these services have been paid in <br />full. Final payment on account of the Contract shall be made <br />within said thirty (30) days after the completion by the <br />CONTRACTOR of all work covered by the Contract and the acceptance <br />of such work by the COUNTY. <br />8. Personnel. CONTRACTOR represents that it has, or will secure at <br />its own expense, all personnel required to perform the services <br />under this Contract and that such personnel will be fully <br />qualified to perform such services. <br />9. Responsibilities of COUNTY. It is agreed that COUNTY will have <br />the following responsibilities under this Contract: <br />a. The provision of all available information, data, reports, <br />records, and maps to which COUNTY has access and which are <br />needed by CONTRACTOR for the performance of the services <br />provided for herein. <br />b. Providing assistance and cooperation for CONTRACTOR in <br />obtaining any other needed material that COUNTY does not <br />have in its possession. <br />c. Making available the services of COUNTY as may be necessary <br />to obtain information as needed to perform the work set <br />forth in the Scope of Services. <br />d. The designation of a single representative who will be <br />authorized to make necessary decisions required on behalf of <br />COUNTY and will serve to provide the necessary direction and <br />coordination for the project. <br />All such responsibilities shall be conducted in a timely manner <br />and without undue delay so as not to delay CONTRACTOR in the <br />performance of its services. <br />10. Delays Beyond the Control of CONTRACTOR. It is agreed that <br />events that are beyond the control of CONTRACTOR or COUNTY may <br />occur which may delay the performance of the Scope of Services. <br />2 <br />
