• impact of the change in the type of operating data or financial information being <br />provided. <br />The provisions of this Section will terminate upon payment, or provision having <br />been made for payment, in a manner consistent with Rule 15c2-12, in full of the <br />Installment Payments. <br />6.3. By the Company. The Company warrants, represents and covenants (all <br />such warranties, representations and covenants continuing) as follows: <br />(a) The Company is a nonprofit corporation duly organized, existing and in <br />good standing under and by virtue of State law and has the power to enter into this <br />Contract and the Trust Agreement. The Company has duly authorized this Contract and <br />the Trust Agreement and has caused each to be executed on its behalf in accordance with <br />the State law. <br />(b) Neither the execution and delivery of this Contract or the Trust Agreement, <br />nor the fulfillment of or compliance with the terms and conditions hereof or thereof, nor <br />the consummation of the transactions contemplated hereby or thereby, results in a breach <br />of the terms, conditions or provisions of the Company's charter or bylaws or any <br />agreement or instrument to which the Company is now a party or by which the Company <br />• is bound, or constitutes a default under any of the foregoing. <br />(c) To the best of the Company's knowledge after reasonable investigation, <br />there is no action, suit, proceeding or investigation at law or in equity before or by any <br />court, public board, or body pending or threatened against or affecting the Company <br />challenging the validity or enforceability of this Contract, the Trust Agreement or any <br />documents relating to the transactions contemplated by such agreement, or the <br />Company's performance of its obligations hereunder and thereunder. <br />ARTICLE VII <br />INDEMNIFICATION <br />To the extent permitted by law, the County agrees to indemnify, protect and save <br />(a) the Company and its officers and directors, (b) the LGC and its members and <br />employees, and (c) the Trustee and its officers and employees, harmless from all liability, <br />obligations, losses, claims, damages, actions, suits, proceedings, costs and expenses, <br />including attorneys' fees, arising out of, connected with, or resulting directly or indirectly <br />from the Sites or the Facilities, or the transactions contemplated by this Contract.
