• (6) The Final Official Statement. <br />(7) Certified copies of all resolutions of the County relating to the <br />Bonds, the Contract and the Deed of Trust. <br />(8) Certified copies of such documents of the Company approving the <br />execution and delivery of the Company Documents. <br />(9) A specimen Bond. <br />(10) Letters from Moody's Investors Service ("Moody's") and Standard <br />& Poor's Ratings Services, a division of The McGraw-Hill Companies ("S&P") <br />to the effect that the Bonds have been assigned a rating of no less than "_," and <br />"_," respectively. <br />(11) A certificate, in form and substance satisfactory to the Underwriter <br />and its counsel, of the President or any duly authorized officer or official of the <br />Company satisfactory to the Underwriter and its counsel, dated as of the Closing <br />Date, to the effect that: (i) each of the Company's representations, warranties and <br />covenants contained herein are true and correct as of the Closing Date; (ii) the <br />Company Documents have been entered into by the Company and are in full force <br />and effect; and (iii) the Bonds have been duly executed and delivered by the <br />• Company. <br />(12) A certificate, in form and substance satisfactory to the Underwriter <br />and its counsel, dated the Closing Date, executed by an appropriate official of the <br />County to the effect that (i) the representations and warranties of the County in <br />the Letter of Representation are true and correct in all material respects as of the <br />date of Closing, and (ii) the Contract and the Deed of Trust leave been entered into <br />by the County and are in full force and effect. <br />(13) Executed copies of the County's certification as to non-arbitrage <br />and other matters relative to the tax status of the Bonds under Section 148 of the <br />Internal Revenue Code of 1986, as amended. <br />(14) A copy of an endorsement to a title insurance policy naming the <br />Trustee as a beneficiary and insuring title to the real estate comprising the <br />Mortgaged Property. <br />(15) A copy of the Blanket Letter of Representations executed by the <br />County to DTC with respect to the Bonds. <br />(16) A certificate, in form and substance satisfactory to the Underwriter <br />and its counsel, of a duly authorized officer or official of the Trustee satisfactory <br />to the Underwriter and its counsel, dated as of the Closing Date, to the effect that: <br />• (i) the Trust Agreement has been duly executed and delivered by the Trustee; and <br />(ii) the Bonds have been duly authenticated by the Trustee. <br />9 <br />3025651v2 15249.00084 <br />
