t <br />3.3 The relation of CONSULTANT to the COUNTY at all times <br />shall be as independent contractor. <br />3.4 Any and all employees of the CONSULTANT or other persons, <br />including without limitation the Eichman Software Consultants <br />or any other Project Team member or subcontractor, engaged by <br />the CONSULTANT in the performance of any work or services <br />required of the CONSULTANT under this agreement, shall be <br />considered employees agents, or subcontractors of the <br />CONSULTANT only and not of the COUNTY, and any. and all claims <br />that may or might arise under any workers compensation or <br />other law or contract on behalf of said employees or other <br />persons while so engaged, and any and all claims made by a <br />third party as a consequence of any act or omission on the <br />part of the CONSULTANT employees or other persons engaged by <br />CONSULTANT, while so engaged on any of the work or services <br />provided to be rendered herein, shall be the sole obligation <br />and responsibility of the CONSULTANT. <br />3.5 CONSULTANT agrees that CONSULTANT and its subcontractors, <br />shall be required to comply with all federal, State and local <br />antidiscrimination laws, regulations and policies that relate <br />to the performance of CONSULTANT'S services under this <br />agreement. <br />ARTICLE IV - COUNTY'S RESPONSIBILITIES <br />4.1 COUNTY shall do the following in a timely manner so as not <br />to delay the provision of Basic Services or Optional Services by <br />the CONSULTANT: <br />4.1.1 Authorize and approve in writing, at the COUNTY'S sole <br />discretion, changes to the Basic Services and Optional <br />Services. <br />4.1.2 Fulfill the responsibilities specified in Exhibit B <br />(page 21) of Addendum II. <br />ARTICLE V - PERIOD OF SERVICES <br />5.1 The period of performance of Basis Services shall be <br />approximately 4 months beginning the week of September 19, <br />2005, as more particularly set forth in the Project Timeline <br />stated in Section 4 (page 14 -15) of Addendum II. <br />5.2 Neither party shall hold the other party responsible for <br />damages or delay in performance caused by acts of God, <br />
