The purchase price for the Property, in the event this Option is exercised, shall be <br />$950,000 and shall be paid at closing, in cash, certified funds or other collected funds acceptable <br />to Orange Enterprises. The closing date shall be stated in the written notice exercising this <br />Option and shall be a date no sooner than 60 days after the date of the written notice to Orange <br />Enterprises. The other terms and conditions of this Option are those contained in N.C. Bar <br />Association Form No. 2, OFFER TO PURCHASE AND CONTRACT ©6/99 Revised, a copy <br />of which is Exhibit B hereto, not inconsistent with the terms and conditions herein. <br />11. This Agreement shall inure to the benefit of and shall be binding upon the <br />County, Orange Enterprises and their respective successors and assigns, subject, however, to the <br />limitations contained herein. <br />13. In the event any provision of this Agreement shall beheld invalid or <br />unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render <br />unenforceable any other provision hereof. <br />14 <br />
