The purchase price for the Property, in the event this Option is exercised, shall be $950,000 and shall be paid at closing, in cash, certified funds or other collected funds acceptable to Orange Enterprises. The closing date shall be stated in the written notice exercising this Option and shall be a date no sooner than 60 days after the date of the written notice to Orange Enterprises. The other terms and conditions of this Option are those contained in N.C. Bar Association Form No. 2, OFFER TO PURCHASE AND CONTRACT ©6/99 Revised, a copy of which is Exhibit B hereto, not inconsistent with the terms and conditions herein. 11. This Agreement shall inure to the benefit of and shall be binding upon the County, Orange Enterprises and their respective successors and assigns, subject, however, to the limitations contained herein. 13. In the event any provision of this Agreement shall beheld invalid or unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render unenforceable any other provision hereof. 14
