EXHIBIT B-1 <br />SCHEDULE OF PROPERTY <br />Re: Equipment Installment Financing Agreement, dated as of February 9, 2007, between <br />Banc of America Public Capital Corp, as Lender, and Orange County, North Carolina, as <br />Purchaser <br />1. Defined Terms. All terms used herein have the meanings ascribed to them in the <br />above-referenced Equipment Installment Financing Agreement (the "Agreement "). <br />2. Equipment. The following items of Equipment are hereby included under this <br />Schedule to the Agreement. <br />Description Location <br />(1) BACKHOE, (1) DUMPTRUCK AND RECYCLING BINS, 1514 EUBANKS ROAD <br />EACH TO BE FURTHER DESCRIBED UPON DISBURSEMENT(S) CHAPEL HILL, NC 27514 <br />The Equipment Costs for the Equipment subject to this Schedule shall not exceed <br />$842,038.00. <br />3. Payment Schedule. <br />(a) Installment Pavrnent Schedule. The Acquisition Amount for the Equipment is <br />$842,038.00. The Installment Payments shall be in such amounts and payable on such dates as <br />set forth in the Installment Payment Schedule attached to this Schedule as Schedule B-l. <br />Installment Payments shall commence on the date on which the Equipment listed in this <br />Schedule is accepted by Purchaser, as indicated in an Acceptance Certificate substantially in the <br />form of Exhibit E to the Agreement or the date on which sufficient moneys to purchase the <br />Equipment are deposited for that purpose with an Acquisition Fund Custodian, whichever is <br />earlier. <br />(b) Purchase Price Schedule. The Purchase Price on each Installment Payment date <br />for the Equipment listed in this Schedule shall be the amount set forth for such Installment <br />Payment date in the "Purchase Price" column of the Installment Payment Schedule attached to <br />this Schedule (including the Installment Payment shown on the same line in the Installment <br />Payment Schedule). <br />4. Representations. Warranties and Covenants.
