Acquisition Fund and (c) any and all proceeds of any of the foregoing, including any insurance <br />proceeds paid because of loss or damage to the Equipment to the extent necessary to secure <br />Purchaser's payment obligations to Lender under this Agreement. Purchaser shall cause to be <br />filed, at Purchaser's expense, financing statements and -other related documents that are <br />necessary under Article 9 of Chapter 25 (the "Uniform Commercial Code - Secured <br />Transactions") of the General Statutes of North Cazolina to perfect a first lien security interest by <br />filing and to maintain that first lien security interest in perfected form. Lender is authorized to <br />(i) file financing statements as specified by the Uniform Commercial Code to perfect or maintain <br />Lender's security interest granted hereby and (ii) add, modify or delete any items shown on the <br />financing statement to reflect the actual Equipment purchased by Purchaser. If the Equipment is <br />or includes one. or .more, motor vehicles, the ownership or lienholder status of which is or aze <br />evidenced by a certificate of title(s), Purchaser shall "cauuse Lende'r's lien to be properly shown on <br />such title(s) as a first.lien security interest. Purchaser agrees to execute and authorizes Lender to <br />file such other notices of assignment, chattel mortgages, financing statements and other <br />documents, in form satisfactory to Lender, which Lender deems necessary or appropriate to <br />establish and maintain Lender's security interest in the Equipment, the Acquisition Fund and the <br />proceeds thereof. Upon the occurrence of an Event of Default, foil and unencumbered legal title <br />to the Equipment shall pass to Lender, and Purchaser shall have no further interest therein. In <br />addition, upon the occurrence of such an Event of Default, Purchaser shall execute and deliver to <br />Lender such documents as Lender may request to evidence the passage of such legal title to <br />,. Lender and the termination of. Purchaser's interest therein, and upon .request by Lender shall <br />deliver possession of the Equipment to Lender in accordance with Section 11.02. Upon <br />termination of this Agreement and payment and performance in full of all of Purchaser's <br />obligations to Lender thereunder, Lender's security interest or other interest in the Equipment <br />purchased pursuant to this Agreement shall terminate, and Lender shall execute and deliver to <br />Purchaser such documents as Purchaser may request to evidence the termination of Lender's <br />security interest in the Equipment. <br />Section 6.03. Personal Property. The Equipment is and will remain personal property <br />and will not be deemed to be affixed to or a part of the real estate on which it may be situated, <br />notwithstanding that the Equipment or any part thereof may be or hereafter become in any <br />manner physically affixed or attached to real estate or any building thereon. Upon the request of <br />Lender, Purchaser will, at Purchaser's expense, furnish a waiver of any interest in the Equipment <br />from any party having an interest in any such real estate or building. <br />ARTICLE VII <br />COVENANTS OF PURCHASER <br />Article 7.01. Liens. Taxes. Other Governmental Chaz~es and Utility Charges. Purchaser <br />shall keep the Equipment free of all levies, liens, and encumbrances except those created by this <br />Agreement. The parties to this Agreement contemplate that the Equipment will be used for a <br />governmental or proprietary purpose of Purchaser and that the Equipment will therefore be <br />exempt from all property taxes. If the use, possession or acquisition of any Equipment is <br />nevertheless determined to be subject to taxation, Purchaser shall pay when due all taxes and <br />governmental charges lawfully assessed or levied against or with respect to such Equipment. <br />Purchaser shall pay all utility and other charges incurred in the use and maintenance of the <br />Equipment.
