Section XI Special Provisions and Conditions <br />A. Non-discrimination -Grantee agrees not to discriminate by reason of age, race, religion, color, sex, <br />national origin or disability in the administration of this Agreement and to abide by the Grant Program <br />and Project policies with respect to the delivery of its Performance Obligations. <br />B. Conflict ofInterest -Grantee certifies that to the best of its knowledge neither Grantee nor any agent, <br />subcontractor, employee, board member or officer of the Grantee has any pecuniary interest in the <br />business of the Commission or of the Project and that neither the Grantee nor any person associated <br />with the Grantee in any way has any interest that would conflict in any manner with the performance <br />of the Agreement. Grantee certifies that to the best of its knowledge neither Grantee nor any agent, <br />subcontractor, employee, board member or officer of the Grantee has any pecuniary interest in the <br />business of the Commission or of the Project and that neither the Grantee nor any person associated <br />with the Grantee in any way has any interest that would conflict in any manner with the performance <br />of the Agreement. Grantee certifies that the Commission has been supplied and has on file a copy of <br />Grantee's Conflict of Interest Policy prior to receiving any disbursements from the Commission as a <br />result of this contract, required by N.C. General Statute § 143-6.2. <br />C. Compliance with Laws -Grantee shall at all times observe and comply with all applicable laws, <br />ordinances, rules and regulation of the state, federal and local governments. <br />D. Non-Assignability -Parties shall not assign any interest in the Agreement; provided, however, that <br />claims for money due to the Grantee from the Commission under this Agreement may be assigned <br />after written notice to and approval from the Commission. <br />E. Personnel -Grantee represents that it has or will secure at its own expense all personnel required to <br />carry out and perform the scope of services required under this Agreement. Such personnel shall be <br />fully qualified and. shall be authorized under state and local law to work on the Project. Such <br />employees shall not be employees of the Commission. <br />F. Restriction on Use of the Funds -Grantee will expend funds consistent with the terms and conditions <br />of this Agreement. <br />G. Non-Waiver - No failure or waiver or successive failures or waivers on the part of either Party, its <br />successors or permitted assigns, in the enforcement of any condition, covenants, or provisions of this <br />Agreement shall be deemed to be a waiver of enforcement for the breach of any other provision in this <br />Agreement or of any subsequent breach of the same or other provision. <br />H. Approvals -All approvals required under this Agreement must be in writing. <br />Attachments -Attachments A, A- l, A-2, A-3, A-4, B, B-1, B-2, C, D, E, E-1, E-2, F and G are <br />attached to this Agreement and incorporated herein as a substantive part ofthis Agreement. Attached <br />is a form letter which will be used to notify Grantee of the Effective Dates of its additional Grant <br />Cycle(s). The Parties agree when letters are sent to the Grantee, establishing the Effective and <br />Termination Dates of the additional Grant Cycle(s), copies of the letters to the Grantee will be <br />substituted for the form letters and attached to this Agreement as Attachment B-2. <br />Section XII Entire Agreement <br />19 <br />
