In the event of termination as set forth in Section VII (A), (B), or (C), the Commission shall have <br />no responsibility to make additional payments under this Agreement after the Termination Date. <br />No further expenditures shall be made under this Agreement except for such work as shall have <br />already been performed prior to the Termination Date and the Grantee shall repay within thirty <br />(30) days alI unspent Grant funds plus interest as well as any funds that may be determined to be <br />due the Commission as a result of an audit upon the demand of the Commission together with any <br />additional interest accrued. <br />2. Grantee agrees that termination of the Project will be conducted in a professional, orderly process <br />that reflects positively on the Grantee and the Commission. <br />3. All records will be maintained and all Reports will be made in accordance with the terms of this <br />Agreement and any applicable laws. <br />Secfion VIII Liabilities and Losses <br />A. No Liability -The Commission assumes no liability with respect to accidents, bodily injury, illness, <br />breach of contract or any other damages, and/or claims or losses arising out of any activities <br />undertaken by the Grantee under this Agreement, with respect to persons or property of the Grantee or <br />third parties. <br />B. Insurance -Grantee agrees to obtain insurance to protect it and others as it may deem desirable, or, if <br />it elects not to obtain such insurance, it represents and warrants that it has adequate resources available <br />to it to protect it and others. <br />C. Indemnity <br />1. Non-governmental Entities who are Grantees agree to indemnify, defend and save harmless the <br />Commission and its officers, agents and employees against any liability, including but not limited <br />to, any and all costs, expenses and attorneys' fees that may: <br />a. Arise from the Grantee's violation of any proprietary right or right of privacy arising out of <br />the publication, translation, reproduction, delivery, performance, use or disposition of any <br />information published resulting from the work of the Proj ect or based on any libelous or other <br />unlawful matter contained in such information; <br />b. Arise from a claim by any other person, firm or corporation famishing or supplying work, <br />services, material or supplies in connection with the Project and the performance of this <br />Agreement; or <br />c. Arise from any and all claims and losses accruing or resulting to any person, firm, or <br />corporation who may be injured or damaged by the Grantee or its agents in the performance <br />of the Project. <br />2. Governmental entities and state agencies who are Grantees agree to indemnify, defend and save <br />harmless the Commission, its officers, agents and employees to the extent allowed by law. <br />17 <br />
