1. Any deliverable items resulting from this Agreement, funded in its entirety by HWTFC as <br />specified in the Grantee's Application which is incorporated into this Agreement (Attachment A- <br />1)shall become the sole property of the Commission. Any deliverable items resulting from this <br />Agreement, for which HWTFC is one of two or more funding organizations as specified in the <br />Grantee's Application which is incorporated into this Agreement (Attachment A-1) shall become <br />the property ofthe Commission proportionate to the percentage ofHWTFC funding used towazds <br />creation of the deliverable(s). The Grantee may use information and data gathered to prepare <br />deliverable items for making reports, publications and presentations in the manner described in <br />Section N (E) (7). <br />2. If work done pursuant to this Agreement results in any intellectual property right accruing to the <br />Grantee, the Grantee hereby grants to the Commission an assignable royalty-free, non-exclusive <br />irrevocable license to publish, translate, reproduce, deliver, perform or use the material covered by <br />the intellectual property right. <br />G. Computer Support <br />The Grantee agrees to the following: <br />1. To use computer technology to support its Project. Grantee may use software designated by the <br />Commission or any other software for provision of Project Services and/or reporting provided <br />Grantee ensures all required Reports are submitted in the consistent, uniform format required by <br />the Commission staff. <br />2. To have all fully operational hazdwaze and software necessary to provide Project Services no later <br />than the end of the first three (3) months of the Grant Cycle unless Commission staff grants an <br />extension in writing. <br />H. Grant Funding <br />The Grantee agrees to the following: <br />Grant Cycles -The Approved Project Budget divides the total Grant into Grant Cycles of up to <br />twelve (12) months with separate budgets. The Grant funds for the initial Grant Cycle will be <br />released by the Commission in the manner specified in Section N (H) (3) below. Additional <br />Grant Cycle(s) may be approved by the Commission provided funds are available, and the <br />Commission, in its sole discretion, determines at the end of each Grant .Cycle that Grantee <br />satisfactorily completed its Performance Obligations as set forth in Section 1V (A). <br />2. Capital Expenditures -Unless prior written approval is given by Commission staff, the Grant <br />funds designated in the Approved Project Budget (Attachment B-1) for Capital Outlay must be <br />expended within the first three (3) months of the Grant Cycle and the Capital Expenses cannot <br />exceed the amount budgeted in the Capital Outlay section of the Approved Project Budget <br />(Attachment B-1). Any Capital Expenditures not used within the first three (3) months must be <br />reallocated to other budget line .items as approved by Commission staff. <br />3. Method of Payment - As soon after the Effective Date as the Grantee makes a written and/or <br />electronic selection from among the payment setup options offered by the Commission, the <br />Commission agrees to commence payment as selected by the Grantee and in the format specified <br />by the Commission. Payments shall cease at such time as the grand total of payments made to the <br />Grantee equals the total amount of the grant award. <br />13 <br />
