25 <br />For all purposes of this Agreement, unless the context clearly requires otherwise, <br />(a) an accounting term not otherwise defined has the meaning assigned to it in <br />accordance with generally accepted accounting principles; <br />Agreement; <br />(b) references to Articles and Sections are to the Articles and Sections of this <br />(c) words importing the singular shall include the plural and vice versa; <br />(d) the headings in this Agreement are solely for convenience of reference; the <br />headings shall not constitute a part of this Agreement, nor shall they affect its meanings, <br />construction or effect; <br />(e) all references to any Party shall be deemed to include any successor to the <br />general functions, powers and properties of such Party; and <br />(f) any references to approvals or other actions by any Party shall be deemed <br />to be references to actions taken by the Party's Governing Board or taken pursuant to express, <br />specific direction given by the Party's Governing Board. <br />
