To whom it may concern: <br />3 <br />Upon acceptance of your proposal to become a SeniorNet Learning Center, you will be <br />asked to sign this contract, including the document labeled Appendix A. Your <br />organization's signature on the last page of the letter will make this contract, your Letter <br />of Intent and Appendix A a binding agreement between the designated Organizing Group <br />and SeniorNet. The contract can be amended upon agreement by both parties. <br />1. Defined Terms. A number of terms used throughout this letter and Appendix A <br />are printed with capitalized initial letters and have meanings specific to this <br />Agreement. These terms are and are defined as follows: <br />(a) Qr=izing Group: The organization that made the proposal to SeniorNet <br />for the purpose of establishing a SeniorNet Learning Center in its <br />community. <br />(b) IBM and Bell South Seniors: an IBM or Bell South retiree or employee <br />age 55 and over, or a senior relative of an IBM or Bell South employee. <br />(c) SeniorNet Members: older adults age 55 and over who have paid the <br />current membership fee to SeniorNet. <br />(d) Equi= nt computers, printers, modems, phones and other peripherals, as <br />well as software needed to operate a SeniorNet Learning Center that is the <br />subject of this Agreement. <br />(e) Facility: Name and address of SeniorNet Learning Center site, the <br />location which will house the equipment at which computer and <br />telecommunications classes are offered. <br />(f) Learning Center Coordinator: an individual, generally a senior volunteer <br />who organizes classes, recruits instructors and students, and monitors <br />Learning Center activities. <br />(g) Learning Center Council: a small body of SeniorNet members who will <br />meet monthly to work with the Center Coordinator to organize classes, <br />recruit instructors and students, and plan and expedite Learning Center <br />activities. Officer positions on the Council should include, but are not <br />limited to a Council President and Network Advocate. <br />2. Services to be Performed. For the period commencing on execution of this <br />agreement and ending in five years, Organizing Group agrees to establish and <br />maintain a SeniorNet Learning Center and provide IBM and Bell South Seniors <br />and other older adults with computer and telecommunications training at such <br />Centers, and provide the ability to participate in SeniorNet Online.
