<br />PROFESSIONAL SERVICES AGREEMENT <br />ORANGE COUNTY PARTNERSHIP FOR YOUNG CHILDREN (OCPYC) <br />AND <br />EMERGENCY MEDICAL SERVICES (EMS) <br />FY 1997-98 <br />Agreement # SS-9798-003 <br />Purpose: The Orange County Partnership for Young Children and EMS agree to <br />enter a limited services agreement for the purpose of developing the Welcome to <br />the World Baby project. <br />Agreement Period: The agreement period begins June 1,1998 and concludes <br />September 3,1998. This agreement may be canceled by any party with atwo- <br />week written notice. <br />Agreement Total: The total cost of this agreement is not to exceed 5 000.00 <br />that includes all cost for the items identified by EMS, including first aid kits, <br />poison control materials, safety magazine, smoke detectors and batteries. <br />Responsibilities: <br />Orange County Partnership for Young Children agrees to: <br />1. Reimburse EMS for the costs for services and activities as described below <br />under Contractor responsibilities. <br />2. Monitor the Contractor for compliance with the terms of this contract. <br />3. Specify all reports required from the Contractor. <br />Contractor agrees to: <br />1. Work collaboratively with OCPYC to develop We/come to the World Baby <br />project and to identify and purchase safety equipment and supplies as <br />described. <br />2. Maintain records of receipts and disbursements and such books and records <br />will be made available to the OCPYC or its representative upon request. <br />3. Submit itemized budget detailing equipment purchases. Any item over $500 <br />will be returned to the Partnership should the activity be discontinued for any <br />reason. <br />4. Attend scheduled meetings with OCPYC as requested and submit the <br />following reports for this agreement: <br />• Data Report <br />• Cash and In-kind match log <br />• Any other reports specified by OCPYC <br />5. Identify Smart Start and OCPYC as the funding source for the contracted <br />projects in all promotions and literature. <br />6. These funds will be used only for the purpose specifically set forth in this <br />agreement. Any portion of the funds not used for these purposes will be <br />repaid to OCPYC. <br />EMS.doc <br />
