Notices shall be deemed effective upon certified mailing or hand delivery. <br />WAIVERS - <br />The failure of either party at any time to require performance of the other party of any provision <br />hereof shall not in any way affect the full right to require such performance at any time thereafter, not shall <br />the waiver by either party of a breach of any provision hereof be taken or held to be a waiver of the <br />provision itself or a waiver of the right to enforce that provision with respect to any future breach. <br />ASSIGNMENT - <br />The Partner shall not assign (voluntarily, by operation of law or otherwise) this Agreement or any <br />right, interest or benefit under this Agreement, without prior written consent of the Publisher. Subject to <br />the foregoing, this Agreement shall be fully binding upon, inure to the benefit of and be enforceable by the <br />parties hereto and their respective successors and assigns. _ - <br />10. SEVERABILITY - <br />If any provision of this Agreement is held invalid, the remainder of this Agreement shall not be <br />affected thereby. <br />11. GOVERNING LAW; JCTRISDICTION - <br />This Agreement shall be governed by, and construed and interpreted in accordance with, the laws <br />of the State of North Cazolina without regard to its conflicts or choice of law.
